Seller Terms & Conditions

These terms apply from the moment your seller account is approved. They sit alongside the Seller Policy, which sets the day-to-day standards, and the buyer Terms & Conditions.

1. The agreement

This is an agreement between you (the seller) and WEAF COMPANY UGANDA LIMITED, trading as Weafmall Uganda. We provide the marketplace, the storefront and the order and payment plumbing. You supply and are responsible for the goods.

2. Your account

• Give accurate business and contact details, and keep them current.
• You are responsible for everything done through your seller account, including by your staff.
• One business, one seller account, unless we agree otherwise in writing.
• Your seller package determines your listing allowance and commission, and has a validity period shown in your dashboard.

3. Your listings and your goods

• You confirm that you own the goods or are authorised to sell them, and that they are genuine, legal and safe.
• You are responsible for the accuracy of every listing: title, description, specification, photographs, price and warranty.
• You grant us a non-exclusive licence to display your listing content on the storefront, in the mobile app, and in marketing for the platform.
• We may edit categorisation, correct obvious errors, or remove a listing that breaches our policies or the law.

4. Orders and fulfilment

An order placed against your listing is a contract between you and the buyer for the supply of those goods. You must fulfil it within the timeframe stated, or tell the buyer and us before that deadline passes. Persistent failure to fulfil accepted orders is a material breach of this agreement.

5. Commission and fees

• We deduct commission from the value of each completed order at the rate applying to your seller package and category.
• Your package may also carry a subscription fee and a limit on how many products you may list.
• Current rates and limits are visible in your seller dashboard. We will give you notice before changing them.

6. Payouts

• Proceeds from completed orders, less commission and any refunds, accumulate in your seller balance.
• You request a withdrawal from your dashboard. We review requests before releasing them.
• We may withhold all or part of a payout where an order is disputed, a return is in progress, a chargeback has been raised, or we reasonably suspect fraud.
• Payouts go to the bank or mobile money details on your seller profile. Keep them accurate; we are not liable for payments sent to details you supplied incorrectly.

7. Returns, refunds and chargebacks

You accept returns in line with the Returns & Refund Policy. Where a buyer is entitled to a refund on goods you supplied, the refund is set against your balance. Where a return is caused by your error — wrong item, faulty goods, inaccurate listing, poor packing — the return shipping cost is yours.

8. Taxes

You are responsible for your own tax obligations on your sales, including registration, VAT where applicable, and fiscal invoicing requirements. We will provide the transaction records we hold to help you meet them.

9. Intellectual property

You keep ownership of your brand and content. We keep ownership of the platform, the Weafmall name and the site design. You may not use our branding to imply that Weafmall endorses your business beyond your presence on the marketplace.

10. Confidentiality and data

Buyer details are shared with you only to fulfil orders and support buyers. You may not use them for your own marketing, add them to a mailing list, or pass them to anyone else. Handle them in line with our Privacy Policy and applicable data protection law.

11. Liability and indemnity

• You are liable for the goods you supply, including defects, safety and any claim arising from them.
• You will indemnify us against claims, losses and costs arising from your listings, your goods, or your breach of these terms.
• We provide the platform on a reasonable-efforts basis. We are not liable for lost profits or lost sales caused by downtime, and our total liability to you is limited to the commission we earned on your sales in the three months before the claim.

12. Suspension and termination

• You may close your seller account at any time, once outstanding orders are fulfilled and open disputes settled.
• We may suspend or close your account for breach of these terms or the Seller Policy, for repeated buyer complaints, or where required by law.
• We may suspend immediately, without notice, in cases of counterfeit goods, fraud, or a genuine safety risk to buyers.
• On termination you remain responsible for fulfilling accepted orders and for returns and warranty claims on goods already sold.

13. Changes to these terms

We may update these terms. Material changes will be notified to the email on your seller account before they take effect. Continuing to sell after that date means you accept the updated terms.

14. Governing law

This agreement is governed by the laws of the Republic of Uganda, and the courts of Uganda have jurisdiction over any dispute.
